01Scope

These Terms apply to the public Site only. Access to and use of the WLTR platform, pilot programs, software, and professional services are governed by a separate written agreement between WLTR and the customer. If those terms conflict with these Terms, the separate agreement controls.

02Use of the Site

You may use the Site for lawful business and informational purposes. You agree not to:

• Use the Site in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with or disrupt the Site, including by introducing malware or conducting denial of service attacks
• Scrape, crawl, or harvest content or data from the Site by automated means, except for search engine indexing in accordance with our robots.txt file
• Submit false, misleading, or another person’s information through any Site form
• Copy, reproduce, or create derivative works from Site content except as permitted below

03Intellectual Property

The Site and its content, including text, graphics, logos, product names, software, methodologies, and the selection and arrangement of content, are owned by WLTR or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. WLTR and the WLTR logo are trademarks of WLTR, Inc. You may view and print Site content for your internal business evaluation of WLTR. No other license or right is granted.

04Information You Submit

You are responsible for the information you submit through the Site and represent that it is accurate and that you have the right to submit it. Do not submit confidential laboratory data or sensitive personal information through Site forms. Our use of personal information is described in our Privacy Policy. If you send us feedback or suggestions, you grant WLTR a perpetual, royalty-free right to use them without obligation to you.

05Informational Content and Calculators

Content on the Site, including descriptions of product capabilities, industry information, and results from the ROI calculator, is provided for general informational purposes. Calculator outputs are estimates based on the inputs you provide and general assumptions. They are not guarantees of results and do not constitute regulatory, legal, financial, or professional advice. Nothing on the Site is an offer to sell or a solicitation of an offer to buy securities.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WLTR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

08Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WLTR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. WLTR’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

09Indemnification

You agree to indemnify and hold harmless WLTR and its officers, directors, employees, and agents from any claims, damages, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of the Site.

10Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Washoe County, Nevada, and you consent to the personal jurisdiction of those courts.

11Changes

We may update these Terms from time to time by posting the revised Terms on this page and updating the effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

12General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms are the entire agreement between you and WLTR regarding the Site.
